1. Introduction

These Terms and Conditions ("Terms") govern your use of services provided by Arbor Properties Pte Ltd ("Arbor Properties," "we," "our," or "us"), a licensed estate agency registered with the Council for Estate Agencies in Singapore.

By engaging our services, accessing our website, or communicating with us regarding property services, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.

2. Definitions

• "Services" refers to property consultation, property tours, transaction support, and related services provided by Arbor Properties
• "Client" refers to any individual or entity engaging our services
• "User" refers to any visitor to our website
• "Property" refers to any residential real estate in Singapore
• "Agreement" refers to any service engagement between Client and Arbor Properties

3. Use of Services

3.1 Eligibility

Our services are available to individuals who are at least 21 years of age or have reached the legal age to enter into binding contracts in Singapore. By engaging our services, you represent that you meet these requirements and have the legal capacity to enter into agreements.

3.2 Accurate Information

You agree to provide accurate, current, and complete information when engaging our services. This includes contact details, property preferences, financial circumstances relevant to property searches, and identification documents where legally required.

3.3 Service Scope

Our services are advisory in nature. While we provide guidance and facilitate property transactions, final decisions regarding property purchases, rentals, or other transactions rest solely with you. We do not provide legal, financial, or investment advice.

4. Prohibited Uses

You agree not to:

• Provide false or misleading information to obtain our services
• Use our services for any unlawful purpose
• Attempt to circumvent our engagement to deal directly with property owners we have introduced
• Share confidential property information obtained through our services with third parties
• Interfere with or disrupt our services or systems
• Reproduce, distribute, or commercially exploit our proprietary materials without permission
• Engage in conduct that damages our reputation or business relationships

5. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Arbor Properties or its content suppliers and is protected by Singapore and international intellectual property laws.

You are granted a limited, non-exclusive license to access and use our website for personal, non-commercial purposes. This license does not include the right to copy, modify, distribute, or create derivative works from our content.

Property documentation, viewing notes, and other materials we provide during service engagement are for your personal use only and may not be shared or published without our written consent.

6. Payment Terms

6.1 Service Fees

Service fees are quoted in Singapore Dollars (SGD) and are payable as specified in your service agreement. All fees are subject to prevailing Goods and Services Tax (GST) as applicable under Singapore law.

6.2 Payment Methods

We accept payment via bank transfer, PayNow, and major credit cards. Payment details will be provided upon service engagement confirmation.

6.3 Payment Timing

Unless otherwise agreed, consultation fees are payable before the session, tour packages before the first viewing, and comprehensive support fees according to the milestone schedule specified in your agreement.

7. Refund Policy

Our refund policy varies by service type:

• Lifestyle Consultation: Full refund if cancelled more than 48 hours before scheduled session; 50% refund if cancelled 24-48 hours before; no refund for cancellations within 24 hours
• Narrative Property Tours: Unused portion may be refunded on a pro-rata basis if cancellation occurs before any viewings are conducted
• Complete Journey Support: Refunds are calculated based on services rendered at the time of cancellation, as outlined in your service agreement

Refunds are processed within 14 business days to the original payment method.

8. Disclaimers and Limitations

8.1 Service Disclaimer

Our services are provided "as is" and "as available." While we strive for accuracy, we do not warrant that property information provided by third parties is complete, accurate, or current. You should independently verify all material property details before making decisions.

8.2 No Outcome Assurance

We do not provide assurance regarding property availability, pricing, or transaction outcomes. Property markets are subject to factors beyond our control, and past performance does not indicate future results.

8.3 Limitation of Liability

To the maximum extent permitted by Singapore law, Arbor Properties shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of profits, data, or opportunity.

8.4 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, pandemics, or technical failures.

9. Termination

Either party may terminate the service engagement by providing written notice. Upon termination:

• You remain responsible for fees incurred up to the termination date
• Our confidentiality obligations continue to apply
• You must cease using any proprietary materials provided during engagement
• Provisions regarding intellectual property, limitation of liability, and dispute resolution survive termination

We reserve the right to terminate services immediately if you breach these Terms or engage in conduct detrimental to our business or reputation.

10. Dispute Resolution

10.1 Informal Resolution

In the event of any dispute, we encourage you to contact us first to seek an informal resolution. Many concerns can be resolved through direct communication.

10.2 Mediation

If informal resolution is unsuccessful, parties agree to attempt mediation through the Singapore Mediation Centre before pursuing other remedies.

10.3 Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Singapore. Any disputes not resolved through mediation shall be subject to the exclusive jurisdiction of the courts of Singapore.

11. General Provisions

11.1 Entire Agreement

These Terms, together with any service-specific agreements, constitute the entire agreement between you and Arbor Properties regarding the use of our services.

11.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

11.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

11.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
